PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING, BROWSING, OR USING THE WEBSITES LOCATED AT SOLIDEFI.CO, YIELD.SOLIDEFI.CO, FUND.SOLIDEFI.CO, OR ANY ASSOCIATED WEB INTERFACES, APPLICATION PROGRAMMING INTERFACES (APIs), OR SMART CONTRACT GATEWAYS (COLLECTIVELY, THE “INTERFACE”), OR BY CONNECTING YOUR DIGITAL ASSET WALLET, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL INCORPORATED POLICIES. IF YOU DO NOT AGREE, CEASE ACCESS AND USAGE IMMEDIATELY.

1. Nature of the Interface & Non-Custodial Architecture

1.1. Graphical Frontend Gateway Only. The Interface (solidefi.co, yield.solidefi.co, fund.solidefi.co) is an informational visual frontend and graphical user interface that allows users to independently discover, analyze, and interact with autonomous, decentralized smart contract protocols deployed on public blockchains (the “Protocols”).

1.2. Non-Custodial Operation. Solidefi does not take custody of, control, hold, or possess any digital assets, cryptocurrencies, stablecoins, private keys, or seed phrases at any time. All transactions initiated through the Interface are executed directly by you via your self-custodied Web3 wallet (such as MetaMask, WalletConnect, Coinbase Wallet, or hardware wallets) interacting peer-to-peer with public blockchain networks.

1.3. No Financial Intermediation. Solidefi is not a bank, broker-dealer, financial institution, custodian, investment adviser, exchange, asset manager, or money transmitter. The Interface does not broker transactions, match orders, hold funds in escrow, or execute trades on your behalf.

1.4. Third-Party Protocols & Enzyme Vault Architecture. Solidefi Fund operates utilizing decentralized smart contract infrastructure deployed on the Enzyme Finance protocol (Enzyme Vault 0xa3c5...011f) and underlying decentralized liquidity protocols (including Aave, Compound, Curve, and Uniswap). Solidefi has no control over, and accepts no liability for, the operation, security, or availability of third-party smart contracts.

2. Eligibility & Prohibited Jurisdictions

2.1. Eligibility Requirements. You represent and warrant that:

• You are at least eighteen (18) years of age or the legal age of majority in your jurisdiction.
• You have the full power, legal capacity, and authority to enter into and comply with these Terms.
• Your access and use of the Interface does not violate any applicable local, state, national, or international law, regulation, or statutory order.

2.2. Sanctions & Prohibited Jurisdictions. You represent, warrant, and covenant that:

• You are not a citizen, resident, or entity located in, organized under, or operating within any country or territory subject to comprehensive sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the United Nations Security Council, the European Union, or the United Kingdom (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
• You are not listed on, or owned 50% or more by persons listed on, any sanctions-related list maintained by OFAC (including the Specially Designated Nationals and Blocked Persons List [“SDN List”]) or equivalent international sanctions lists.
• You will not use a virtual private network (VPN), proxy, IP-spoofing mechanism, or any other technological circumvention method to bypass geographical restrictions or disguise your location.

3. Permitted Use & Prohibited Activities

You agree not to engage in any of the following activities:

• Unlawful Activity: Violating any applicable criminal, financial, securities, anti-money laundering (AML), counter-terrorist financing (CTF), or tax laws.
• Market Manipulation: Engaging in wash trading, spoofing, front-running, sandwich attacks, or fraudulent trading practices.
• Technical Attacks: Introducing malware, viruses, worms, Trojan horses, or logic bombs; launching denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks; or attempting unauthorized access to servers or databases.
• Exploitation: Exploiting known or unknown software bugs, vulnerabilities, logic flaws, or flash loan arbitrage mechanisms to unlawfully siphon liquidity or compromise Protocol integrity.
• Circumvention: Bypassing, hacking, or attempting to circumvent access controls, wallet-screening filters, or rate-limiting measures implemented on the Interface.

4. No Financial, Investment, or Legal Advice

4.1. Informational Purpose Only. All content, yield metrics, Annual Percentage Yields (APY), Annual Percentage Rates (APR), historical performance records, yield projection calculators, and simulator tools displayed on the Interface are provided solely for informational and educational purposes.

4.2. No Fiduciary Duty. Nothing contained on the Interface constitutes investment, financial, legal, regulatory, or tax advice. Solidefi does not recommend or endorse any digital asset, vault, strategy, or protocol. You are solely responsible for conducting your own independent due diligence and consulting qualified financial and legal advisors.

4.3. Variable Yields & No Return Guarantees. Any indicated APY or yield estimates are variable, fluctuating continuously based on market demand, borrowing interest rates, liquidity utilization, and protocol token emissions. Past performance is no guarantee of future yield or return.

5. Assumption of Risks

By using the Interface, you acknowledge, understand, and unconditionally assume all risks inherent in decentralized finance and cryptographic systems, including without limitation:

• Smart Contract Vulnerability Risk: Smart contracts are computer code susceptible to coding flaws, bugs, unexpected logic execution, compiler errors, and zero-day vulnerabilities. Exploits or hacks may result in the complete and irrecoverable loss of your deposited digital assets.
• Stablecoin De-Pegging and Insolvency Risk: Solidefi focuses on stablecoin yield strategies. Stablecoins (such as USDC, USDT, DAI, USDe) rely on centralized reserve backing, algorithmic collateralization, or banking relationships. Any de-pegging event, issuer insolvency, regulatory freezing of reserve contracts, or collapse of an underlying stablecoin will lead to severe loss of capital. Solidefi does not guarantee stablecoin parity.
• Zero Impermanent Loss Context: Statements regarding “zero impermanent loss” apply solely to single-asset deposits or stable-to-stable paired pools relative to one another under normal pegged conditions. They do not protect against underlying protocol failure, smart contract breach, or stablecoin de-pegging.
• Blockchain Network Volatility & Transaction Finality: Transactions executed on public blockchains are irreversible. Network congestion, high gas fees, consensus forks, block re-organizations, and chain halts are outside of Solidefi’s control.
• Regulatory Uncertainty: The regulatory status of DeFi protocols, yield aggregation, and cryptographic tokens remains dynamic and unsettled across global jurisdictions. Future regulatory restrictions may materially impair the operation or accessibility of the Interface.
• Wallet Security: You are exclusively responsible for maintaining the confidentiality and security of your wallet credentials, private keys, seed phrases, and hardware devices. Any unauthorized transaction executed with your private keys is irrevocable.

6. Intellectual Property

All proprietary rights, title, and interest in and to the Interface, including trademarks, brand assets, logos (“Solidefi”), software code, website designs, text, graphics, and visual elements, are the exclusive property of Solidefi or its licensors. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Interface solely in accordance with these Terms.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE INTERFACE, CONTENT, TOOLS, AND ACCESS TO THE PROTOCOLS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SOLIDEFI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLIDEFI, ITS CONTRIBUTORS, DEVELOPERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DIGITAL ASSETS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE INTERFACE, SMART CONTRACT VULNERABILITIES, STABLECOIN DE-PEGGING, OR THIRD-PARTY DEFI PROTOCOLS. IN NO EVENT SHALL TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

9. Indemnification

You agree to defend, indemnify, and hold harmless Solidefi, its affiliates, contributors, and agents from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Interface; (b) your violation of these Terms; or (c) your violation of any third-party right or applicable law.

10. Dispute Resolution, Arbitration & Class Action Waiver

10.1. Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Interface shall be resolved through binding, confidential individual arbitration administered in accordance with standard international commercial arbitration rules.

10.2. Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS AND DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT AGAINST SOLIDEFI.

11. Modifications & Updates

Solidefi reserves the right to modify, amend, update, suspend, or discontinue the Interface or these Terms at any time in its sole discretion. Any modifications become effective immediately upon posting with an updated date. Your continued use of the Interface constitutes your binding acceptance of such revisions.
